Vivid Catalyst LLC provides AI-powered automation services for local home service businesses, including but not limited to:

  • Automated lead capture and follow-up

  • Missed call text-back systems

  • Appointment reminder sequences

  • Review request automation

  • CRM setup and management via GoHighLevel

Service details, deliverables, and pricing are outlined in your service agreement or order confirmation.

2. Eligibility

By using our website or services, you represent that you are at least 18 years of age and have the legal authority to enter into this agreement on behalf of yourself or your business.

3. Payment Terms

  • Services are billed on a monthly recurring basis unless otherwise agreed

  • Payment is due at the start of each billing cycle

  • All payments are processed securely through Stripe

  • Vivid Catalyst LLC reserves the right to suspend services for non-payment

  • All fees are non-refundable unless otherwise stated in writing

4. SMS Communications and Consent

By providing your phone number and engaging with Vivid Catalyst LLC, you consent to receive SMS messages related to our services, including appointment reminders, follow-ups, and service notifications.

  • You may opt out at any time by replying STOP

  • Message and data rates may apply

Vivid Catalyst LLC does not purchase leads or engage in unsolicited bulk messaging.

5. Client Responsibilities

As a client, you agree to:

  • Provide accurate business information required for setup

  • Obtain proper consent from your customers before enrolling them in automated messaging

  • Comply with all applicable laws including TCPA, CAN-SPAM, and applicable state regulations

  • Not use our services for any unlawful, harmful, or deceptive purpose

6. Intellectual Property

All content on vividcatalyst.io, including text, graphics, logos, and software, is the property of Vivid Catalyst LLC and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

7. Limitation of Liability

To the maximum extent permitted by law, Vivid Catalyst LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or website, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the total amount paid by you to Vivid Catalyst LLC in the three months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless Vivid Catalyst LLC, its members, employees, and agents from any claims, damages, losses, or expenses (including attorney's fees) arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.

9. Termination

Either party may terminate services with 30 days written notice. Upon termination:

  • Access to your GHL sub-account will be removed

  • Any outstanding balances become immediately due

  • No refunds will be issued for the current billing period

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Robertson County, Tennessee.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the effective date. Continued use of our services after changes constitutes acceptance of the updated Terms.
